Item 9.  Regulation FD Disclosure

  On March 30, 2004, CNA Financial Corporation, a 90% owned subsidiary, issued
a press release stating that the previously announced sale of its individual
life insurance business to Swill Re Life & Health Inc., initially expected to
close on March 31, 2004, is now anticipated to be completed on April 30, 2004.
A copy of the press release is attached as Exhibit 99.1 to this Form 8-K.
