Item 1.01  Entry into a Material Definitive Agreement


On  October  4,  2005,  Halifax  Corporation  issued  a  press  release
announcing  the VDOT contract extension.  A copy of this press  release
is  attached  hereto  as  an  exhibit and  is  incorporated  herein  by
reference.
