On May 12, 2008, the Registrant issued a press release, which is available on its website (www.dynexcapital.com under “Investor Relations/Recent News”), reporting its financial results for the period ended March 31, 2008.  A copy of the press release is being furnished as Exhibit 99.1 to this report and is incorporated by reference into this Item 2.02.

The press release issued on May 12, 2008 also announced the Company’s declaration of a  dividend of $0.15 per share on its common stock, which is payable May 30, 2008 to shareholders of record as of May 22, 2008.
