SUPPLEMENT TO PROXY STATEMENT FOR THE
2018 ANNUAL MEETING OF STOCKHOLDERS
TO BE HELD FRIDAY, JUNE 8, 2018

This proxy statement supplement, dated May 9, 2018 (this “Supplement”), supplements the definitive proxy statement (the “Proxy Statement”) of Harmonic Inc. (the “Company”) filed with the Securities and Exchange Commission (the “SEC”) on April 27, 2018, and relating to the Company’s 2018 Annual Meeting of Stockholders (the “Annual Meeting”) to be held on Friday, June 8, 2018 at 9:00 a.m., Pacific Time. The Annual Meeting will be a virtual meeting held over the Internet. You will be able to attend the Annual Meeting, vote your shares electronically and submit your questions during the live webcast of the meeting by visiting www.virtualshareholdermeeting.com/HLIT2018 and entering your 16-digit control number located on your proxy card.

Supplemental Disclosure Concerning Proposal Five

The purpose of this Supplement is to correct certain figures in the table titled “Independent Registered Public Accounting Firm Fees” in Proposal Five that were inadvertently omitted or misprinted in the Proxy Statement. The table in the Proxy Statement omitted information with respect to the “All Other Fees” row for the years ended December 31, 2017 and December 31, 2016, and misstated the total fees for the year ended December 31, 2016 as $2,911 instead of the correct figure of $2,921. Such table is hereby amended and restated in its entirety as follows:
