Explanatory Note
 
Pursuant to Instruction 2 to Item 5.02 of Form 8-K, this current Report on Form 8-K/A amends and supplements the information reported in item 5.02 to the Current Report on Form 8-K dated and filed August 1, 2013 regarding the election of Daren Shaw to the Board of Directors (the Board) of Profire Energy, Inc.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On November 7, 2013 the Board appointed Mr. Daren Shaw to serve as Chair of the Audit Committee and to serve as a member of the Compensation Committee and Nomination Committee.
