(a) | On and effective March 18, 2008, the Board of Directors of Independent Bank Corporation approved an amendment to the Corporations Bylaws. The amendment is a restatement of Section 11 of Article III of the Bylaws, which addresses Notification of Shareholder Proposals. The amendment modifies the timing that a notice of proposal must be submitted to the Corporation, which now requires that, as a general matter, such notices be received by the Corporation not less than sixty (60) nor more than ninety (90) days prior to the date of the first anniversary of the preceding years Annual Meeting of Shareholders. |
