(e) Compensatory Arrangements of Certain Officers
At the Annual Meeting of Shareholders of Independent Bank Corporation (the Company) held on April 26, 2011, the Companys shareholders approved an amendment to the Company's Long-Term Incentive Plan to extend the term of the plan for an additional 10 years and to make an additional 750,000 shares of the Company's common stock available for issuance under the plan. Awards may be granted under the plan to directors, executive officers, and other employees of the Company or its subsidiaries. A description of the material terms of the plan and the proposed amendment and a conformed copy of the plan, as amended, were included in the Companys proxy statement filed with the Securities and Exchange Commission ("SEC") on March 17, 2011.

At the Company's Annual Meeting of Shareholders held on April 26, 2011, the matters listed below were submitted to a vote of the shareholders through the solicitation of proxies. The proposals are described in detail in the Companys proxy statement, filed with the SEC on March 17, 2011. The voting results are as follows:
