Item 5.02 Departure of Directors or Principal Officers; Election of Directors;
          Appointment of Principal Officers.

(b) On April 4, 2007, Gregory A. DeMuth announced his resignation as Executive
Vice President of 1st Independence Financial Group, Inc. (the "Company") and
as Chief Lending Officer of the Company's wholly-owned subsidiary,
1st Independence Bank, Inc.  Mr. DeMuth's resignation will be effective on
April 28, 2007.
