Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 15, 2009, the Board of Directors of Navigant Consulting, Inc. (the “Company”) elected Michael L. Tipsord as a director of the Company. Mr. Tipsord has been elected to serve for the remaining term of the class of directors elected in 2007, which term shall expire at the annual meeting of shareholders to be held in 2010. In connection with this election to the Board, the Board of Directors of the Company authorized a grant of shares of restricted stock equal to $131,250 and options equal to $43,750, each granted on July 15, 2009. Mr. Tipsord had no transactions with related persons.
