Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

(b) On March 23, 2010, Dr. Kim Clark, a director of JetBlue Airways Corporation (the “Company”) since April 2002, notified the Company that he would be resigning from the Board of Directors and the Corporate Governance and Nominating Committee immediately following the conclusion of the Company’s 2010 Annual Meeting of Stockholders, scheduled for May 20, 2010. The Company thanks Dr. Clark for his long tenure and exemplary service to the Board and to the Company.
