TD Bank Financial Group Announces Common Share Offering
TORONTO — June 3, 2010 — The Toronto-Dominion Bank (TD Bank Financial Group or TDBFG) today announced it has entered into an agreement with a syndicate of underwriters led by TD Securities Inc. for an issue of 3,525,000 common shares, at a price of $71.00 per common share, to raise gross proceeds of $250 million.
On May 17, 2010, TDBFG announced its intention to issue approximately $250 million worth of common shares prior to the closing of The South Financial Group, Inc. transaction for prudent capital management. The issue will qualify as Tier 1 capital for TDBFG and the expected closing date is June 15, 2010. Net proceeds will be used for general corporate purposes.
The common shares will be issued by way of a prospectus supplement that will be filed with securities regulatory authorities in Canada under TDBFG’s September 29, 2008 base shelf prospectus.
The common shares to be offered have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the “U.S. Securities Act”), and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the U.S. Securities Act.
