EXPLANATORY NOTE
This Amendment No. 1 to our Current Report on Form 8-K which was filed with the Securities and Exchange Commission (the “SEC”) on May 9, 2011 (the “Original Filing”) is being filed to amend and restate the report in its entirety to read as follows:
Item 5.07.   Submission of Matters to a Vote of Security Holders
On May 5, 2011, Gladstone Commercial Corporation (the “Company”) held its 2011 Annual Meeting of Stockholders (the “Annual Meeting”). The Company’s stockholders voted and approved each of the proposals presented at the Annual Meeting, which are described in detail in the Company’s Definitive Proxy Statement on Schedule 14A which was filed with the Securities and Exchange Commission on March 25, 2011.
Proposal 1: The election of three directors to hold office until the 2014 Annual Meeting of Stockholders.
