Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
     On March 21, 2007, the Board of Directors of Corn Products International, Inc. (the “Company”) approved an amendment to the Company’s By-laws, effective March 21, 2007. The amendment amended the last sentence of Section 5 of Article III of the By-laws to read in its entirety as follows:
“The Board of Directors, or, if the Board shall not have made the appointment, the chairman presiding at any meeting of stockholders, shall have the power to appoint one or more persons to act as inspector or inspectors, to receive, canvass and report the votes cast by the stockholders at such meeting; but no candidate for the office of director shall be appointed as an inspector at any meeting for the election of directors.”
The amendment substituted the word “one” for the word “two” and added the words “inspector or” to the sentence.
