Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     Effective as of February 21, 2008, the Board of Directors of Sunair Services Corporation (the “Company”) appointed Robert C. Griffin to the Company’s board of directors. In accordance with the Company’s Bylaws, Mr. Griffin’s appointment was approved by the affirmative vote of a majority of the directors of the Company. Mr. Griffin will also serve on the Company’s Audit Committee. There are no transactions between Mr. Griffin and the Company that would require disclosure under Item 404(a) of Regulation S-K.
