Item 2.02. Results of Operations and Financial Condition.
On April 18, 2008, CSK Auto Corporation (the “Company”) issued a press release reporting its financial results for the fourth quarter and fiscal year ended February 3, 2008. The full text of the press release is furnished as Exhibit 99.1 to this current report on Form 8-K and is incorporated herein by reference.

As noted above, on April 18, 2008, the Company issued a press release reporting its financial results for the fourth quarter and fiscal year ended February 3, 2008. Also on April 18, 2008, the Company and O’ Reilly Automotive (“O’ Reilly”) announced that the Federal Trade Commission has granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to O’ Reilly’s proposed acquisition of the Company. A copy of the press release is attached hereto as Exhibit 99.2.
