A Message from John McGlade:  Air Products Increases All-Cash Offer for Airgas to $63.50 Per Share

I’m writing to notify you about an important step we have taken as part of our effort to acquire Airgas.  Thursday afternoon (July 8), we announced that we revised our offer for Airgas to $63.50 per share in cash, an increase of $3.50 per share over our initial price of $60.00 per share.  A copy of the press release we issued can be found here:

As you recall, in May we announced that we would be soliciting votes from Airgas shareholders at the Airgas 2010 Annual Meeting, which is expected to be held no later than September 17.  At that meeting, we will be asking Airgas shareholders to elect three independent nominees to the Airgas Board of Directors and to approve three other proposals to ensure the Airgas Board will act independently and in the best interest of Airgas shareholders.  At this price, we are convinced we will have widespread support from Airgas shareholders for this transaction and our Board nominees and proposals.

Throughout this process we have remained intensely focused on the interests of Air Products’ shareholders, and have been very clear to the shareholders of both companies that we will remain disciplined on price.  Even with this price increase, an acquisition of Airgas remains accretive to our earnings and adds significant value to our shareholders.  With shareholder support for our increased offer, and continuing positive discussions with the Federal Trade Commission (FTC), we believe we can close this mutually beneficial transaction on a timely basis. At this point, we hope the Airgas Board of Directors will act in their shareholders’ best interests and begin negotiations with us promptly.

In the meantime, I encourage you to stay focused on our commitment to safety and our goals of a 17% margin and double-digit earnings per share (EPS), and serving our customers to the best of our abilities. While an acquisition of Airgas represents an outstanding value-creation opportunity, this opportunity does not in any way impact our ability to execute our current underlying growth and return improvement plans.  Air Products’ outlook is extremely bright with or without this transaction, and you all are a vital part of its future.

On February 11, 2010, Air Products Distribution, Inc. (“Purchaser”), a wholly owned subsidiary of Air Products and Chemicals, Inc. ("Air Products"), commenced a cash tender offer for all the outstanding shares of common stock of Airgas, Inc. ("Airgas") not already owned by Air Products, subject to the terms and conditions set forth in the Offer to Purchase dated as of February 11, 2010 (the "Offer to Purchase").  The purchase price to be paid upon the successful closing of the cash tender offer is $63.50 per share in cash, without interest and less any required withholding tax, subject to the terms and conditions set forth in the Offer to Purchase, as amended. The offer is scheduled to expire at midnight, New York City time, on Friday, August 13, 2010, unless further extended in the manner set forth in the Offer to Purchase.
