AmerisourceBergen Announces Secondary Public Offering of Common Shares and Common Share Repurchase

AmerisourceBergen Corporation (NYSE: ABC) (the “Company”) announced today a secondary public offering of 10 million shares of common stock of the Company held by Walgreens Boots Alliance Holdings LLC (the “Selling Stockholder”). The Company will not receive any proceeds from the sale of the Company’s common stock by the Selling Stockholder in the offering. The underwriter may offer the shares from time to time in one or more transactions on the NYSE, in the over-the-counter market, through negotiated transactions or otherwise, at market prices prevailing at the time of sale, at prices related to such prevailing market prices or at negotiated prices.

Morgan Stanley & Co. LLC is acting as the sole underwriter for the offering.

The offering is expected to close on or about November 10, 2022, subject to customary closing conditions.

In addition, subject to the completion of the underwritten offering, the Company intends to concurrently repurchase shares from the Selling Stockholder at a price per share equal to the price at which the underwriter will purchase the shares from the Selling Stockholder in the offering, net of underwriting discounts and commissions, in the amount of approximately $500 million. The concurrent share repurchase will be made under the Company’s share repurchase program and the repurchased shares will be held in treasury. The closing of the concurrent share repurchase will be conditioned upon the closing of the offering and therefore there can be no assurance that the concurrent share repurchase will be completed. The offering is not conditioned upon the completion of the concurrent share repurchase.
